1. Acceptance of Terms

By accessing or using Overpriced.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time — continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

• You must be at least 18 years old to use the Service.
• The Service is currently in a limited beta. Access is granted at our sole discretion and may be revoked at any time.
• You are responsible for maintaining the confidentiality of your account credentials.
• You may not share, sell, or transfer your account or beta access to others.

3. Service Description

Overpriced.ai is an AI-powered investment research platform that provides tools including but not limited to:

• Reverse DCF Analysis: Calculates the implied growth rate embedded in a stock's current market price.
• AI Chat & Research Workflows: AI-generated analysis, research reports, and conversational insights about stocks and markets.
• Sentiment Analysis: AI-powered monitoring of news and social media sentiment.
• Stock Screener: Tools for filtering and screening publicly traded equities.
• Paper Trading: Simulated trading with virtual currency — no real money is involved.
• Portfolio Tracking: Tools to monitor holdings and performance.

4. Beta Program

• The Service is in active development. Features may change, break, be added, or be removed without notice.
• There is no guarantee of uptime, availability, or service continuity during the beta period.
• Beta access is currently provided free of charge. Pricing may be introduced in the future with reasonable notice.
• We may collect feedback and usage data during the beta to improve the Service.

5. No Financial Advice

This is critical — please read carefully:

• Overpriced.ai is not a registered investment advisor, broker-dealer, or financial planner.
• All stock analyses, valuations, verdicts, and assessments are informational only — they are not buy, sell, or hold recommendations.
• Paper trading uses simulated money. No real trades are executed through this platform.
• AI-generated research and analysis may contain errors, inaccuracies, or outdated information. AI models can and do produce incorrect outputs.
• Past performance of any stock or strategy discussed on the platform does not guarantee future results.
• You are solely responsible for your own investment decisions. We accept no liability for financial losses resulting from actions taken based on information from this platform.

6. AI-Generated Content

• The Service uses third-party AI models to generate analysis, research, and conversational responses.
• AI-generated content may be inaccurate, incomplete, biased, or misleading. It should be treated as a starting point for your own research, not as a definitive source of truth.
• We do not guarantee the accuracy, reliability, or completeness of any AI-generated output.
• AI models may occasionally produce content that is nonsensical, contradictory, or factually wrong ("hallucinations"). Always verify important claims independently.

7. Data Accuracy

Financial data displayed on the platform is sourced from third-party providers. While we strive for accuracy, we make no warranties or representations regarding the accuracy, completeness, timeliness, or reliability of any financial data. Stock prices, financial statements, growth rates, and other metrics may be delayed, incomplete, or contain errors. Do not rely solely on data from this platform for investment decisions.

8. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Scrape, crawl, or use automated tools to extract data from the platform.
• Redistribute, resell, or commercially exploit any data, analysis, or content from the platform without written permission.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
• Interfere with or disrupt the Service or servers/networks connected to the Service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to provide financial advice to third parties.

9. Intellectual Property

• All content, design, code, and branding of Overpriced.ai are owned by us and protected by applicable intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes during the beta period.
• The Reverse DCF framework referenced on this platform is based on publicly available academic work. Our implementation and presentation are original works protected by applicable law.

10. Account Termination

• You may delete your account at any time from the Settings page.
• We reserve the right to suspend or terminate your access at any time, for any reason, including violation of these Terms.
• Upon termination, your right to access the Service ceases immediately. Data stored locally in your browser will remain until you clear it.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or investment losses.
• Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim (which during the free beta is $0).

12. Indemnification

You agree to indemnify and hold harmless Overpriced.ai, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless otherwise required by law.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
